BOKS International member firms join forces in Spain on domestic project

BOKS International members firms Corporate Counselors – Abogado de empresa and Absis Legal recently joined forces on a domestic project in Spain to service an Absis Legal client requiring assistance in selling a business. The client specifically sought support from a partner with previous experience selling businesses to Investment Funds.

“One of our clients asked us if we could help them in the process of selling a business. Specifically, they requested that the professional in charge should have experience selling businesses to Investment Funds. At Absis Legal, this is not an area in which we have specific expertise. Consequently, I have to confess that I initially answered that, unfortunately, we could not deliver that service. 

However, I remembered that we had recently met Luis Baños at Luis Baños Abogados, who are also members of BOKS International. He has informed me that Luis Baños Abogados are experts in mergers and acquisitions and have experience with Investment Funds. I contacted my client and offered him a combined team of Absis Legal and Luis Baños Abogados: Luis’ team would manage the project’s legal side, while I would deal with Tax. My client explained that the services were addressed to a third party that already had offers from other three firms, one of which was a Big Four. Finally, my client opted for our proposal.

The end summary is that we could not do it without Luis, and Luis would not have had the chance to do it without us. Clear win-win.”

“Our partner member from Barcelona, Absis Legal, offered us the opportunity to provide legal advice for the sale of a company located in Madrid to a private equity firm (the deal’s value was circa € 20 mm). 

Given that our main field of specialization is M&A, we were more than pleased to help. Together with Absis Legal, we presented to the owner a fees proposal divided into legal counselling and tax counselling to implement legal and Absis Legal would provide tax advice.

The ownership got different proposals from various legal firms, among which the big legal companies, and finally retained us. We are currently providing the owner with the agreed services.”
